1. Acceptance of Terms
Welcome to Construction Connect. By accessing or using our construction marketplace platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you and Construction Connect ("we", "our", or "us"). Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
2. Description of Service
Construction Connect is an online marketplace platform that connects property owners and project managers ("Clients") with licensed contractors and construction companies ("Contractors") for construction, renovation, and related services.
Our Service facilitates:
- Project posting and discovery
- Contractor profile creation and verification
- Bid submission and management
- Communication between Clients and Contractors
- Document and file sharing
- Project tracking and milestone management
We provide the platform only. We are not a party to any agreements between Clients and Contractors and do not perform construction services directly.
3. User Accounts and Registration
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Be at least 18 years old to create an account
3.2 Account Types
We offer different account types:
- Client Accounts: For property owners and project managers posting projects
- Contractor Accounts: For licensed contractors and construction companies bidding on projects
3.3 Account Responsibility
You are responsible for all activities that occur under your account. You may not transfer, sell, or share your account with others without our prior written consent.
4. User Responsibilities and Conduct
When using our Service, you agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Post false, misleading, or fraudulent information or bids
- Impersonate any person or entity
- Harass, abuse, or harm other users or engage in discriminatory conduct
- Attempt to circumvent the platform to conduct business off-platform
- Use automated systems (bots, scrapers) without authorization
- Transmit viruses, malware, or other harmful code
- Interfere with the operation or security of the Service
- Collect or harvest user information without consent
- Use the Service for any illegal or unauthorized purpose
5. Contractor/Company Responsibilities
5.1 Licensing and Qualifications
Contractors using the Service must maintain all required licenses, certifications, insurance, and bonds required by law for their services. You represent and warrant that all information provided about your qualifications is accurate and current.
5.2 Professional Conduct
Contractors agree to:
- Provide accurate and realistic bids and timelines
- Perform work in a professional, workmanlike manner if awarded a project
- Comply with all applicable building codes and regulations
- Maintain appropriate insurance coverage
- Honor commitments made through the platform
5.3 Verification
We may verify contractor credentials, but verification does not constitute an endorsement or guarantee of quality, reliability, or performance. Clients are responsible for their own due diligence.
6. Project and Bid Guidelines
6.1 Project Posting
Clients posting projects must:
- Provide accurate and complete project details
- Have legal authority to commission the work
- Respond to bids and inquiries in a timely manner
- Not post projects that violate laws or building regulations
6.2 Bid Submission
Contractors submitting bids must:
- Provide accurate pricing and timeline estimates
- Include all material costs and labor in the bid
- Honor submitted bids for a reasonable period
- Clearly disclose any assumptions or exclusions in the bid
6.3 Contract Formation
Acceptance of a bid creates a contractual relationship between the Client and Contractor. Construction Connect is not a party to this contract. We recommend that all parties execute a formal written agreement detailing the scope, terms, and conditions of the work.
7. Payments and Fees
7.1 Platform Fees
We reserve the right to charge fees for the use of our Service. Any applicable fees will be clearly disclosed before you incur them. Current fee structures may include subscription fees, transaction fees, or premium feature fees.
7.2 Project Payments
All project payments are negotiated directly between Clients and Contractors. We may offer optional payment processing services in the future. If we do, separate terms will apply to those services.
7.3 Tax Obligations
You are responsible for determining and paying any applicable taxes related to your use of the Service or payments made through the platform.
8. Intellectual Property
8.1 Our Property
The Service, including its design, functionality, software, code, text, graphics, logos, and other content (excluding User Content), is owned by Construction Connect and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.
8.2 User Content
You retain ownership of content you post on the Service ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your content solely for the purpose of operating and improving the Service.
8.3 User Content Responsibility
You represent and warrant that you own or have the necessary rights to post your User Content and that it does not violate any third-party rights or applicable laws.
9. Disclaimers and Limitations of Liability
9.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9.2 No Endorsement
We do not endorse, guarantee, or assume responsibility for any Contractor, Client, project, bid, or service advertised or offered through the Service. Any verification or vetting we perform does not constitute a guarantee of quality, safety, or legality.
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSTRUCTION CONNECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
9.4 Third-Party Interactions
We are not responsible for disputes, damages, or losses arising from interactions between Clients and Contractors. You release us from any claims related to such interactions.
10. Indemnification
You agree to indemnify, defend, and hold harmless Construction Connect, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) any construction work performed or services rendered pursuant to connections made through the Service.
11. Dispute Resolution
11.1 Informal Resolution
If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally.
11.2 Arbitration
If we cannot resolve a dispute informally, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding.
11.3 Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.
11.4 User-to-User Disputes
Disputes between Clients and Contractors must be resolved directly between those parties. We may provide tools to facilitate dispute resolution but are not obligated to intervene in user-to-user disputes.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature. You remain responsible for any obligations incurred before termination.
12.2 Termination by Us
We may suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Harm to other users or the Service
- Extended inactivity
- Any reason at our sole discretion
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. We may also notify you via email or through the Service.
Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
14. General Provisions
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.3 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Construction Connect regarding the Service and supersede all prior agreements and understandings.
14.4 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
14.5 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
